This Wholesale Agreement is entered into by and between The MEGA Way LLC-Cannabiseology, , a Delaware limited liability company, on behalf of itself, its subsidiaries, and other corporate affiliates (collectively referred to herein as the “Company”), and

(the “Wholesaler”), and is effective the date the Wholesaler signs this Agreement or the date the Wholesaler pays for products from Cannabiseology at wholesale price. The Company and the Wholesaler are collectively referred to herein as the “Parties.”

As a condition for the Wholesaler receiving wholesale price and in consideration of the Wholesaler’s relationship with Company, the Wholesaler agrees to the following:

Wholesale Discounted Prices Wholesale prices are available to accounts that will be reselling the Company’s products to the consumer through an established retail store or company website. Wholesale accounts are not permitted to sell through 3rd party resale sites like Amazon, Ebay, Shopify, etc unless approved in a separate agreement by company. This agreement will be immediately terminated if the wholesaler is found using a 3rd party resale site. Wholesaler must provide a copy of resale license to verify eligibility. The Wholesaler hereby acknowledges that this price is available only because the Wholesaler agrees to resell at a price not lower than the minimum price as set forth by Company.

Minimum Opening Order The minimum opening order is $428.00 per product category.

Resell Price

The Wholesaler hereby acknowledges that complying with the resell price requirement is a condition to receiving wholesale prices, and that failure to comply with this requirement is a material breach of this agreement.

Placing Orders Wholesaler may place orders several different ways: • Submit the order via email to sales rep. • Call our customer service representative 646-912-5547. Lead Time Typically, the Company ships orders within one (1) business day and sometimes on the same day an order is placed. During a busy holiday season, it may take up to three (3) business days to ship orders, but this is unusual. If Wholesaler has a rush order, Wholesaler may let Company know and Company will exert extra effort to try to the rush order out sooner.
